Dorel Industries Pacific Cycle Buys PTI Sports For $28M

Montreal, Canada /CNW Telbec/ --

Dorel Industries Ltd. (TSX: DII.A, DII.B; ) today announced its
Pacific Cycle division has acquired the assets of PTI Sports, a
leading U.S. designer, manufacturer and distributor of bicycle
parts, helmets and other accessories.

The purchase is in line with Dorel's strategy to aggressively
grow its bicycle and juvenile products businesses. PTI will
be integrated into the Pacific Cycle division within Dorel's
Recreational/Leisure segment. The transaction will be
immediately accretive to earnings.

The purchase price was US$28.1 million. PTI recorded sales
of US$ 65 million and an adjusted EBITDA of US$ 5 million in
the 2007 fiscal year.

Established in 1991, PTI Sports has widespread distribution at
the key mass and sporting goods retailers throughout North
America, including Category Manager positions and 100%
exclusive agreements with a number of its customers.

With a dedication to product innovation, PTI's brand portfolio
is the strongest in the industry, with such licenses as: Schwinn,
Mongoose, Disney, Nickelodeon, Mattel (Polly) Master Lock,
Thomas the Train and The Discovery Channel.

PTI is the number two North American player in the bicycle helmet market.

Pacific Cycle and PTI Sports began its relationship in 2002
with a license agreement to bring Schwinn and Mongoose
branded bicycle parts and accessories to market. Since then,
the ties between the two organizations have developed into
a partnership that includes marketing initiatives and product
development innovations.

An excellent fit with Dorel's growth strategy

Dorel President and CEO, Martin Schwartz stated the
PTI Sports acquisition underscores the Company's commitment
to enhance shareholder value. "We are executing on our plan to
focus on and grow our Recreational/Leisure segment. In February
Dorel purchased Cannondale bicycles and SUGOi fitness apparel
to augment our position in the independent bicycle dealer (IBD) category.

While this transaction will have little impact on our IBD business,
PTI fits perfectly with Pacific Cycle, our mass merchant division,
and we can now go to the major chains and offer integrated buying
with both bicycles and bike accessories."

<
There are significant synergies between Pacific Cycle and
PTI Sports that will provide a strong foundation going forward.

- In most cases, the same buyers that are responsible for the bicycle
category also manage the parts and accessories category. This allows
for a more efficient and consolidated sales effort.

- Parts and accessories are a natural extension of Pacific Cycle's
current product categories.

- As a division of Dorel, Pacific Cycle has the resources to allow for
greater economies of scale, unique technologies and the ability to
bring new products to market faster in a wide variety of product
categories, including parts and accessories.

- The acquisition of PTI Sports allows for an ease in executing new
marketing initiatives between compatible product lines and developing
wide-reaching, exclusive programs for key retailers.

"We are excited about this transaction as we will be able to quickly
integrate PTI into Pacific Cycle, enabling us to capture and greater
leverage our combined synergies, as well as provide additional
innovative solutions to our customers. We clearly anticipate upside
potential," said Alice Tillett, President of Pacific Cycle.

Schwinn`s TJ Lavin Talks Clothes, Music

Las Vegas, NV --

This week was pretty chill. I was able to do a little video shoot
with Kyle Carlson about my new clothing deal with Ecko Unlimited.

It’s only on www.vitalbmx.com right now, and it was pretty good
because I did my first trick in 7 months. You gotta go check it
out to see it, though. Don’t trip. It isn’t that great, but it
definitely feels great to be back riding for real.

I’m getting ready to take off soon for Panama, and I’m still working
on my new album. This week I worked with a skateboarder named
Cato Williams. He’s a great musician and was a pleasure in the studio.

His family is blessed to do music as his brother is N.E.R.D.’s front man
and world renowned producer Pharrell Williams. He and I are going to
do a big jam soon to benefit his friend who was paralyzed in a horrific
car accident. Stephen Murray will be there to support as well.

There’s no date yet, but I will keep you posted. (It’ll probably be
sometime in the fall.) Speaking of Stephen Murray, I just received
the first cut of the music video we shot last month, and it was definitely
getting the point across.

I thought it was a shot and edited very well, but more importantly it
will hopefully help Stephen’s cause tremendously. I talked to Stephen
today and he seemed very upbeat and positive as usual. He’s currently
working very hard with Dr. John MacDonald in Baltimore to get some
movement back. I wouldn’t put it past him to do something amazing
over the next few months. Well, that’s if for this week.

Until next time, much love. T

GT Bicycles Jill Kintner Makes The US Olympic Team

GT Bicycles Olympic News --

Jill Kintner thought her Olympic dream ended four weeks ago,
when she was writhing in the dirt, screaming in agony after
re-injuring her chronically right knee in a training crash.

She felt no pain Saturday.

By finishing sixth at the BMX world championships in Taiyuan,
China, the 26-year-old from Seattle earned enough points to
barely edge Arielle Martin of Pleasant Grove, Utah, in USA Cycling's
yearlong battle for the lone automatic women's BMX berth into this
summer's Beijing Olympics.

“I didn't even know it was possible,” Kintner said in a telephone
interview with The Associated Press on Saturday from Taiyuan.
“For it to come down like this, I don't know what to think. There
had to be some higher forces working for me.”

However, the day will likely be remembered as bittersweet for
the American women, most of whom struggled Saturday. Although
the official rankings have not yet been confirmed by the International
Cycling Union, calculations by USA Cycling show they will have only
one women's start position in the Beijing Games – meaning while
Kintner races for Olympic gold, her close friend Martin will be watching.

“I was crying because of that more than because I made it,” said
Kintner, who was with Martin when USA Cycling's BMX director Mike
King came into their hotel room Saturday evening and broke the news.
“Today, it's a lot more bitter than sweet. Tomorrow, it might be a
different story.”

The U.S. could have secured a second Olympic spot with some
strong finishes Saturday. But other than Kintner, no American
woman advanced out of the quarterfinals. Martin crashed in her
quarterfinal race, ending her day, and probably her Olympic
hopes as well.

Kintner entered Saturday 13 points behind Martin in the USA
Cycling standings. Martin was eliminated in the quarterfinals,
meaning she did not add any points to her yearlong total. And
by finishing sixth – an outcome that was all but assured when
two French women in the eight-racer final stumbled – Kintner
earned 14 points, giving her a 129-128 victory after the 17-race
competition.

Kintner and Martin were roommates both on the trip to
China and for the last several months at the Olympic
Training Center in Chula Vista, Calif.

“You take the good with the bad,” King said.
“You're happy for one and you're hurting for the other.”

Kintner was a four-time national champion and three-time world
champion in the event known as mountain-cross, where racers on
mountain bikes head downhill while dodging obstacles. But because
BMX was added to the Olympic program, she returned to the smaller
bike this year with eyes of making the team headed to Beijing.

She was a junior BMX world champion as a teenager – and now as an
adult, will have the chance of adding a gold medal to her resume.

“After all I've gone through to get here, I guess it was worth it,”
Kintner said.

Dorel Strengthens Senior Management

Montreal, Canada --

Dorel Industries Inc. (TSX: DII.B DII.A) today announced it
is implementing a new senior management structure to maximize
the growth opportunities that it sees ahead.

Three posts of Segment President have been added; one for each of
Dorel's segments; Juvenile, Recreational/Leisure and Home Furnishings.
Dorel President and CEO, Martin Schwartz, said its three businesses
have all become major global operations and offer so much potential
that dedicated senior management executives are now required.

New positions

Camillo Lisio, who has been with Dorel since 2004, becomes President
of Dorel Juvenile worldwide. Juvenile is Dorel's largest segment, with
revenue of close to US$1 billion and earnings from operations exceeding
US$100 million in fiscal 2007.

Mr. Lisio will also oversee the Company's Shared Services, including
Dorel China, Global Procurement and Distribution Platforms. Hani Basile
has been named Chief Operating Officer of the Juvenile segment.

"The Juvenile segment has numerous opportunities to add further value
to Dorel, both organically and through new acquisitions. Cam's back
ground and experience positions him to fully leverage these opportunities
grow this segment for the benefit of all our shareholders," stated Mr. Schwartz.

Robert P. Baird, Jr. has been hired as President of Dorel's fast growing
Recreational Leisure segment. Mr. Baird has served in senior executive
positions in the U.S. at Philips Electronics. In his most recent position
with Philips, he was the Transformation Leader for combining the
Consumer Electronics and Domestic Appliance businesses into the new
Consumer Lifestyle Sector.

He has extensive experience in the Consumer Goods Industry across
multiple companies including Samsonite, Scott Paper, Bristol Myers and
Procter & Gamble. Mr. Baird holds an MBA degree from the J.L. Kellogg
School at Northwestern University and a B.A. in Economics from St.
Lawrence University. He will be relinquishing his seat on Dorel's Board of
Directors and a new independent Director will be named in the coming months.

Dorel Industries Looking To Strong 2008

Montreal, Canada --

Dorel Industries Inc. (TSX: DII.B DII.A) President and CEO,
Martin Schwartz, today painted an optimistic picture for shareholders
attending the Company's annual meeting. He reported that the Juvenile
segment has had a strong start to the year, both in North America and
Europe, thanks to Dorel's innovative product development, its diversity
of branded products and price points. Further, the addition of revenue
and earnings from newly acquired Cannondale bicycles and SUGOi
apparel help push the Recreational/Leisure segment to new heights,
and even ready-to-assemble (RTA) furniture's results were significantly
better. "There is a great deal happening at Dorel and we will continue
to optimize the results of each of our segments," stated Mr. Schwartz.

2008 has begun with its best quarter ever. For the period ended
March 31, 2008, Dorel posted revenue of US$556 million and net
income of US$35.1 million or US$1.05 per share. ( More )

Dorel Industries Is Facing An Uphill Climb

Montreal, Canada --

Photo - The bike that launched a rolling feud:
When stroller-maker Dorel Industries bought a high-end bicycle
maker, the Montreal company was simply thinking diversification.
Then the mud-slinging, poaching and intimidation began. Welcome
to the clubby world of elite cycling.

In the exclusive world of high-performance cycling,
Dorel Industries Inc. is facing an uphill climb.

Fitness-obsessed baby boomers with disposable income to burn are
flocking to the high-end bike segment, paying upward of $2,000 and
as much as $10,000 for the ultralightweight, high-tech precision
machines that have become must-have toys of the day.

Dorel, which makes children's gear and furniture and is already a major
player in mass market bicycles, sought to tap into the growing high-end
segment by scooping up prestigious manufacturer Cannondale Bicycle
Corp. of Bethel, Conn., in February.

But in cycling circles, Montreal-based Dorel
has come under attack for its high-low strategy.

Flogging a mass market line of bikes - including the famous Schwinn
brand - while selling the pricey and storied Cannondale through
independent bike dealers will weaken specialty sellers, one competing
high-end maker says.

Michael Sinyard, the founder and president of Cannondale rival
Specialized Bicycle Components, recently sent a letter to independent
U.S. bike dealers urging skepticism regarding Dorel's commitment to
maintaining the exclusivity of Cannondale and its other pricier models.

Dorel's acquisition of Cannondale is "bad news" for the
independent bicycle dealers channel - the only one through
which the high-performance bikes are sold, he warned.

"I believe if dealers continue to sell and promote Cannondale they are
strengthening this mass market conglomerate and eroding the specialty
retail channel," Mr. Sinyard wrote in the letter dated Feb. 11.

He charged that Dorel subsidiary Pacific Cycle already diluted the value
of top-line brands it acquired - such as Schwinn and GT - by shifting them
into the mass-merchant channel. Now, he said, the Cannondale name is
at risk.

In a letter of response to the dealers, Dorel's Cannondale Sports Group
president and chief executive officer Jeff Frehner - who logs between 200
and 250 miles a week on one of his 15 racing bikes - called Mr. Sinyard's
charges the "wild speculations and mud slinging of a competitor." He
mused that "perhaps Specialized is intimidated."

His division at Dorel remains committed to innovative product
development, dealer programs to increase revenue and profits,
improved marketing efforts in the independent dealers channel
and other measures, he said.

Specialized also apparently targeted Cannondale staffers, sending
out e-mail messages to Cannondale engineers trying to lure them
away. A human resources manager wrote in the e-mail, dated Feb.
5, that she would be travelling to Bethel in the next few weeks in
hopes of meeting with some of the Cannondale people. News of the
poaching raid appeared in trade publications online.

Dorel tried to turn Mr. Sinyard's broadside to its advantage, running an
online Cannondale ad saying: "Who has the best engineers in the industry?
Specialized knows. Mike Sinyard must be looking for higher standards."

The ad concludes that Cannondale's staff "can't be poached."
Mr. Sinyard was not available to comment further on the issue.

In a recent interview, Mr. Frehner, 39, said Cannondale is focusing
on relations with dealers. "In the last 90 days we've been doing a
lot of work to solidify our position in the dealer network," he said.

"There's been a lot of back-and-forth, which
didn't have to occur but it did," he added.

Dorel's chief financial officer Jeffrey Schwartz said: "We want to
make it clear that having Dorel behind Cannondale means we're going
to aggressively invest in new products."

Dorel created the new Cannondale Sports Group unit, which is separate
from the mass-market Pacific Cycle unit, and has solemnly sworn not to
dilute the Cannondale brand, Mr. Schwartz said.

But there is some convincing still to do.

The fact that Dorel is in other businesses of a more pedestrian
nature - ready-to-assemble furniture, children's car seats and
strollers - hasn't helped. Some critics have taken issue with the
notion that a consumer products manufacturer supplying Wal-Mart
can be trusted to maintain the higher standards required to design,
develop and sell top-end machines.

On the Internet, Dorel's efforts to break into the high
end of cycling fuelled discussion among enthusiasts.

"There's nothing hip about buying a bike from a company that also sells
furniture and baby strollers," one bike chat line participant wrote.

Arden Cottle, owner of the Out-Spoke'n specialty bike shop in Lake
Mary, Fla., thinks the controversy needs to be put into perspective.
"This is quite silly. All of us need to be focused on running, to the best
of our abilities, our companies," she said in a telephone interview.

"Look at it this way: Dorel has a lot of money to market Cannondale
as a label that deserves that kind of support," she said.

A big selling point is that most Cannondale frames continue to be
assembled in the U.S., whereas rivals Specialized, Trek Bicycle
Corp. and Giant Bicycles have theirs made offshore, she said.

"It's a better quality, nicer weld, with more patents."

Schwinn`s TJ Lavin Talks About Upcoming Projects

Las Vegas, NV --

It's been a very busy couple of weeks so sorry for the delay.
A couple of weeks ago I shot my first music video in Hollywood,
California. It was to promote the new song I did with (Mongoose
BMX Vert rider) Simon and Pippa Tabron benefiting the Stephen
Murray Family Fund.

Fuel TV came out and did a behind-the-scenes thing and did a few interviews
so that was cool. I think it will help a lot and it will be playing on MTV and
for sure on NBC.

I also confirmed doing color commentary for NBC this year for the
Dew Action Sports Tour, so I'm excited about that. Last week was
really cool with the Supercross being in town.

I made several appearances including the Road to Recovery Golf Tournament
which helps moto athletes who pay the ultimate price for what they do. I've
played in that tournament since it started and don't plan to ever miss it.

This week was back to business week. I was stoked to see I was featured in
two magazine articles. One was UK Ride and it featured my broken leg all
stapled up a few days after the accident. It mentioned how I just re-signed
for life with Monster energy drink with a broken leg and how that was love.

It also said thanks to Chuck (Fallon—BMX Team Manager) and Schwinn
for helping me during those first few rough days. Thanks again for that.

Last but most important I'm 100% back. For the first time in six months
I really feel like a true BMXer again. I dropped the dock at my house and
completed the entire yard making it through first go. I've been sweating that
since I got hurt ‘cause I knew the boys would expect me not to pull it over.

I'm sessioning everyday now helping Cam White get ready for the season and
getting myself ready for what ever comes my way. I'm on my way to Panama for
6 weeks to film another season of the MTV Challenge series so when I get back
from that it'll be on for sure. This week I plan on doing an interview with UK Ride
and with Vital BMX so it's gonna be another good one. Sorry for such a long
one but I had some catching up to do. Nothing but love, TJ

cancellation of the agreement to purchase Land America Health & Fitness
Co., Ltd., and $2.4 million (6 cents per diluted share after-tax) for costs
associated with the departure in March of the Company's former CEO, was
$6.9 million or $0.22 per diluted share compared to a net loss from continuing
operations of $0.01 million or $0.00 per diluted share for the first quarter 2007.

Net sales from continuing operations for the three months ended March 31, 2008,
were $129.6 million compared to $137.0 million for the corresponding period last
year. Results from continuing operations exclude the Company's apparel business,
which is considered a discontinued operation and was sold on April 18, 2008 for
$69.4 million. -- For full revenue figures and more of the report, see:

Dorel Reports Robust First Quarter

MONTREAL, Canada --

Dorel Industries Inc. (TSX: DII.B DII.A) today released strong results
for the first quarter ended March 31, 2008. Total revenue for the period
increased 22.0% to US$556.0 million from US$455.7 million last year.

First quarter 2008 revenue includes two months of revenue from the
February 4, 2008 acquisition of the Cannondale Bicycle Corporation
and SUGOi Performance Apparel. Net income for the first quarter was
US$35.1 million or US$1.05 per diluted share, up 25.7% from US$27.9
million or US$0.85 per diluted share in 2007. First quarter 2008 pre
-tax earnings rose 43.8% to US$42.5 million from US$29.5 million in
the first quarter a year ago.

"The first quarter performance clearly indicates that Dorel has the right
combination of products and price points for consumers at the right time.

In light of the difficult economy in the United States, we are seeing consumers
shopping more at mass merchants where Dorel has traditionally been strong.
In Europe, where conditions remain better, consumers continue to seek higher-
end products, and Dorel's European operations enjoy a solid position in this
market. It is also satisfying to report that we have turned the corner in our
ready-to-assemble furniture business. Notwithstanding this strong start, it is
unclear what the balance of the year will bring due to the weak economy in the
U.S. and the current increasing cost environment," said Dorel CEO and
President, Martin Schwartz.

The segment experienced strong sell-through in advance of the busy spring
season. This was particularly the case at the Pacific Cycle division with its mass
merchant customers. The addition of Cannondale and SUGOi in Dorel's new
Independent Bicycle Dealers (IBD) division contributed significantly to first
quarter results. The significant gross margin increase was due mainly to the
contribution of higher margins on Cannondale bicycles and SUGOi clothing.
However, the improved earnings percentage of 10.7% versus 8.2% in the prior
year was not due solely to Cannondale, but rather resulted from both Pacific
and the newly acquired businesses.

Dorel Industries Reports Strong 2007 Results

Montreal, Canada /CNW Telbec/ --

Dorel Industries Inc. (TSX: DII.B DII.A) today announced full results
for the fourth quarter and year ended December 30, 2007. On March
4, 2008 the Company pre-released certain fiscal 2007 financial
information in advance of a series of investor meetings.

On an adjusted basis, fiscal 2007 net income was US$100.1 million,
an increase of US$8.1 million from 2006 levels and the highest level
ever recorded in Dorel's history. The Juvenile segment was a major
factor in this success, and for the year it recorded revenues of US
$963.6 million and just over US$114 million in adjusted earnings from
operations, both all time records. The Recreational/Leisure segment
also improved with a 10.0% gain in revenues and a 26.8% increase
in earnings from operations.

Recreational / Leisure Segment

Revenue for the year in the Recreational / Leisure segment increased
by 10.0% to US$374.8 million from US$340.7 million the year before.
Earnings from operations jumped 26.8% to US$33.0 million from US$26.0
million a year ago. For the fourth quarter, revenue was US$85.8 million,
an 11.6% increase from the previous year's US$76.9 million. In the fourth
quarter, earnings from operations were essentially flat at US$5.8 million
as compared to US$5.9 million the year before.

For the year, the improvement was due to success in both the
mass merchant and Independent Bicycle Dealers (IBD) channels.
The majority of the increase came from several key mass customers
as sales ebounded after declines in 2006. Sales were also strong with
certain warehouse club customers, a relatively new distribution channel
for this segment. These increases, at both existing and new customers,
were driven by bicycle sales, although other recreational product lines
continue to be explored and added in an attempt to diversify sales of
the segment.

Gross margins for the year increased by 70 basis points. However fiscal
2006 included a one-time US$3.5 million inventory write-down, therefore
margins were, in fact, consistent with the prior year. Selling, general and
administrative expenses rose moderately from US$36.9 million in 2006
to US$38.3 million in 2007. However as a percentage of revenue this
represents a decrease of 60 basis points as 2007 sales volume
increases outpaced additional spending.

Outlook

On February 4, 2008, Dorel announced the acquisition of the
Cannondale Bicycle Corporation and SUGOi Performance Apparel.
This resulted in the establishment of a new Recreational/Leisure
division, the Cannondale Sports Group, with an exclusive focus
on the Independent Bicycle Dealers (IBD) channel.

Our 2007 success stems from the combined strength of our Juvenile
and Recreational/Leisure businesses. The acquisition of Cannondale
and SUGOi fortifies our position and stature in the bicycle industry
and underlines our commitment to further unlock shareholder value
by concentrating on Dorel's core segments, which provide the greatest
potential. The new Cannondale Sports Group will build on Cannondale's
strengths to grow significantly within the IBD channel. Our intention is
to build a world-class company and to offer a line of products that will
be desired by both dealers and consumers.

"We will continue to strive to optimize the results of each of our
segments and we will devote the necessary resources to ensure
their growth and development. The current economic situation,
particularly in the US, does not allow for the accurate prediction
of consumer trends and hence the outlook for the complete year
cannot be seen with clarity. Nonetheless, we have not witnessed
any slowdown of consumer spending in Dorel's products during
the first two months of 2008," concluded Mr. Schwartz.

Catching Up With Schwinn`s TJ Lavin

Las Vegas, NV --

Photo - TJ Lavin

What up everyone? Just wanted to tell you what I've been
up to lately. After the broken leg it's been a long road to try
to get better for the new season coming up. I've never been
in better shape because I have to go to the gym at least once
but at most times twice a day.

The leg is getting better everyday so I think another
four weeks and I should be able to ride a little.

I started on the street already which was a great step for me.
Anyway - enough about that! I've been really busy despite being
laid up.

Last week I had two interviews on the radio.
One was for the big UFC fight last weekend
and the other was on Jason Ellis' show on Faction.

This week I had a few meetings regarding the music and
that seems to be heading in the right direction for sure.

Also there's a new fighting league coming out called Crossfire
and I'm gonna be the TV guy for that as well so busy, busy,
busy for sure.

Next week I'll be doing a big storey with BMX Plus called
"So You Wanna Be A Dirt Jumper?" It should be funny so
keep an eye out for that and make sure you watch the
show on MTV every Wednesday! -- TJ Lavin

Dorel Spins Into High-End Bike Realm

Montreal, Canada --

Photo - Martin Schwartz of Dorel, which bought Cannondale,
maker of the Liquigas Pro Cycling Team bike. The U.S. Firm
aims to become world's top producer.

Dorel Industries Ltd. says it's aiming to move its bicycle business
away from the mass market with yesterday's acquisition of high-end
manufacturer Cannondale Bicycle Corp.

Dorel chief executive Martin Schwartz said the deal, worth close to
$200 million U.S., will help Dorel achieve its goal of becoming the
world's largest bicycle maker.

"We are strong in the mass market and we want to market the business
to independent bicycle dealers," he said. "We want to be No. 1."

Dorel plans to create two bicycle divisions to help it achieve this goal.
One division will target the mass market, where bikes sell from about
$59 to $349 through retailers like Wal-Mart. The other division will feature
high-end Cannondale bicycles and focus on independent bicycle retailers,
with prices ranging from the high hundreds to several thousand dollars for
a professional quality bike.

Based in Bethel, Conn., Cannondale is known for making award-winning
handcrafted bicycles that are used by world-class professional cyclists
and triathletes.

The acquisition also includes Cannondale subsidiary Sugoi Performance
Apparel Co. of Vancouver, which specializes in high-performance bike
and running clothing.

Dorel used to draw the bulk of its profits from its furniture division,
but in recent years the company's earning power has shifted to its juvenile
products and recreational divisions.

In 2004, the company became the biggest bicycle supplier in the U.S. with
its purchase of Pacific Cycle LLC, home of the venerable Schwinn brand.

Dorel hit the jackpot that year when it launched the Sting-Ray bicycle,
modeled after the banana-seat bikes from the 1960s, which the company
said went on to become one of the fastest-selling bicycles in history.

Schwartz said this year, more than 50 per cent of the firm's business
will come from juvenile products, 20 to 30 per cent from its recreational
division and the rest from home furniture.

Asked if Dorel plans to shift manufacturing of Cannondale
bicycles to China, Schwartz said: "Not in the near future."

He said that while some Cannondale components are already made
in China, the frames are made in the U.S. and the bicycles are either
assembled in the U.S. or in Holland for the European market.

The production volume of these expensive bikes is low, so it doesn't
make sense to move manufacturing to China at this point, he said.

The value of the all-cash transaction will be $190 million to $200 million U.S.,
depending upon Cannondale's earnings results for the year ending on June 30.

Investors responded positively to the deal as Dorel's
B shares rose $2.75 to $32 in Toronto trading yesterday.

Dorel Creates Two Distinct Bicycle Divisions

MONTREAL, Canada /CNW Telbec/ --

Dorel creates two distinct bicycle divisions following Cannondale
acquisition. - New Division established exclusively for Independent
Bicycle Dealer channel. - Pacific Cycle to concentrate on mass
merchant category.

Dorel Industries Ltd. (TSX: DII.A, DII.B; ) today announced
it is re-organizing its Recreational/Leisure segment to create
two distinct bicycle divisions to deal separately with the Independent
Bicycle Dealer (IBD) and mass merchant channels.

The changes are being made to coincide with today's announced
acquisition of the Bethel, connecticut-based Cannondale Bicycle
Corporation
. The purchase also includes the Sugoi Performance
Apparel Company.

A new Dorel Independent Bicycle Dealer (IBD) Division, the Cannondale
Sports Group, is being established and will devote all of its energies and
resources exclusively to this channel. The Cannondale Sports Group will
encompass Cannondale, Sugoi, GT and other premium-oriented brands,
and will seek acquisitions in similar high quality, performance bicycle
companies. Jeff Frehner, who has been President of Pacific Cycle for
three years is leaving that position immediately to return to his roots
in the bike business and will oversee the Cannondale Sports Group as
President. The current Cannondale management team, headed by
President and CEO, Matt Mannelly, will continue to run Cannondale
within that group.

"I'm a diehard biking enthusiast. I love this space and am thrilled to
be able to focus all of my energy on the IBD channel. With Cannondale
and Dorel's resources, the sky is the limit. High quality, innovation and
passion, this will be the DNA of our new division," said Jeff.

"This is an excellent strategic fit for Cannondale and a testament to
all the hard work of Cannondale employees worldwide. This provides
us with tremendous resources to continue to build our innovative brand.
It also creates long term stability that will help us achieve our leadership
goals in the IBD channel. We're excited to be the leading brand in Dorel's
new IBD division. The end result will be a continuous flow of innovative
product to our Dealers and consumers," commented Matt.

"Dorel recognizes that doing business with the IBD and mass merchant
categories is two very different things and requires distinct strategies
and specialized people selling the best products for those channels.

We clearly realize this and are making the necessary adjustments to
best meet the needs of our customers," stated Dorel President and
CEO, Martin Schwartz.

Pacific Cycle, purchased by Dorel in 2004, will now be a stand-alone
division focused on the mass merchant channel. Alice Tillett, who has
been Executive Vice President, Mass and Sporting Goods Channel at
Pacific Cycle, has been named President. With 18 years experience
in the sector, 10 of those in the bike industry, Alice has a thorough
knowledge of the mass and sporting goods sector and has engineered
Pacific's growth in this channel.

Mr. Schwartz said the Cannondale transaction underlines the Company's
plan to further unlock shareholder value by concentrating on Dorel's core
Recreational/Leisure and Juvenile segments, which provide the greatest
potential. "We are committed to pursuing this strategy, and this important
transaction positions us globally in a most material way. Dorel recognizes
the importance and potential of the Independent Bicycle Dealer channel
and is purchasing Cannondale as the first step to become the world's
number one IBD player."

MONTREAL, Canada /CNW Telbec/ --

Dorel Industries Ltd. (TSX: DII.A, DII.B; ) today announced
it has acquired the Cannondale Bicycle Corporation, a leading
designer, developer and manufacturer of high-end bicycles.

Headquartered in Bethel, Connecticut, Cannondale has facilities
in Bedford, Pennsylvania as well as offices in Canada, Switzerland,

through debt.

Cannondale and Sugoi are being purchased from an affiliate

2003. 2007 sales for Cannondale and Sugoi were approximately
$200 million.

A clear strategy for the IBD category

Dorel President and CEO, Martin Schwartz stated that in light of
the acquisition the Company's Recreational/Leisure segment is
being split into two distinct operating divisions.

A new Dorel Independent Bicycle Dealers (IBD) division,
the Cannondale Sports Group, is being created and will focus
exclusively on this category with premium-oriented brands.

Backed by Dorel's extensive resources, the Cannondale Sports
Group will build on Cannondale's strengths to grow significantly
within the IBD channel. "Our intention is to build a world-class
company that dealers will want to buy from," said Mr. Schwartz.
Pacific Cycle will become a stand-alone division with an exclusive
focus on mass merchant customers.

"The Cannondale purchase is consistent with Dorel's plan to
concentrate on its core businesses. Since buying Pacific Cycle
in 2004 we have learned a great deal about the bicycle industry
and have found it to be a true value driver for Dorel.

We are committed to pursuing this sector, and this important
transaction will position us globally in a most material way.

Dorel recognizes the importance and potential of the Independent
Bicycle Dealer channel and is purchasing Cannondale as the first
step to become the world's number one IBD player. Cannondale
will be the crown jewel of this new Dorel division, which will seek
additional such growth opportunities."

Note: Please refer to the separate release issued today
"Dorel Creates Two Distinct Bicycle Divisions Following
Cannondale Acquisition". "We're excited about the future
for Cannondale and our retailers.

Cannondale's goal is to be the number one supplier to the
IBD channel. Dorel's vast resources and experience provide
us with long term stability and the ability to accelerate our
goals for growth with our retailers," stated Matt Mannelly,
President and CEO of Cannondale.

A history of innovation, a record of wins

Cannondale has come a long way since its establishment in 1971,
when it introduced the cycling industry's first bicycle trailer.

The company grew quickly, adding cycling apparel and accessory
lines while earning a strong reputation for innovation and quality.
Cannondale raised the cycling world's eyebrows by equipping its
bicycles with handcrafted aluminum frames that were both lighter
and more flex-resistant than the steel models that dominated the
industry at the time.

Many of the ideas that keep Cannondale products on the
cutting edge come from the sponsored athletes on the Company's
professional racing teams. Cannondale has an outstanding heritage
in competitive cycling and has consistently been on the leading edge
of sports marketing. Cannondale bikes have been powered to multiple
stage wins in the Tour De France and have won 4 overall Giro d'Italia
titles alongside countless World Cup Wins and World Championship
titles off road. Today Cannondale continues to push the envelope in
bicycle innovation and material expertise and is the bike of choice
for the Liquigas Pro Cycling Team, Cannondale Vredestein professional
mountain bike team, along with mountain bike legend Tinker Juarez
and a host of other world class professional cyclists and triathletes.

Mr. Schwartz stated that Dorel's Recreational/Leisure segment has
an enormous opportunity to capitalize on the changing mindsets and
trends around the world. "Increasingly, people are actively engaged
in seeking healthier lifestyles; are concerned about the environment,
and want to do something about it; and desire sustainability at all levels.

We sincerely believe our products can help meet these objectives.
This transaction underlines our plan to further unlock value within
the Company, concentrating on the Recreational/Leisure and Juvenile
segments which provide the greatest potential."

Dorel Industries Looks At Buying Cannondale

Madison, WI --

With the Canadian “loonie” at near record levels against the dollar,
rumors are rife that Canada’s Dorel Industries, which owns Pacific
Cycles
, is kicking tires and weighing frames as it ponders a purchase
of Cannondale.

Those rumors have spiked of late but Jeff Frehner, Pacific’s president
and chief executive officer, said at this point they are just rumors.
A call to Cannondale’s Matt Manley remains unreturned.

Frehner said Pacific wants to bolster its IBD investment and that could
include a purchase of Cannondale or others. “They (Dorel) are committed
to spending money on that segment,” he said. Frehner, recognizing that
some specialty retailers worry about Pacific’s position in the mass market,
said Dorel could look at setting up a separate company focused solely on
IBD sales of GT and other brands. Pacific, which has had modest success
selling Schwinns to IBDs, could add Schwinn to its IBD mix.

Nonetheless, Cannondale has been for sale for months.
And Pegasus, a private equity firm, has been hard-pressed
to find a buyer.

The original asking price was pegged at around $200 million,
but few think Pegasus will get it. Given the Canadian dollar’s
position against the U.S. dollar, a Dorel purchase could yield
an effective discount off the final negotiated purchase price.

Pegasus bought a bankrupt Cannondale in January 2003 for
approximately $58 million. The fact that Cannondale also owns
Sugoi, a Canadian clothing company it bought in July 2005 plus
a licensing agreement with shoemaker Diadora, makes for a
more complicated sale.

Dorel, a publicly traded company in Canada, is sniffing around for
acquisitions and Cannondale is one of them, according to Canadian
analysts who track Dorel and rate it as a market performer. Dorel
enjoys annual sales of $1.8 billion and employs about 4,700 people
worldwide. It’s also considered a savvy manager of logistics with
extensive experience in Europe and Asia.

The company currently is generating ample free cash flow for a
purchase even as it aggressively reduces debt. It generated some
$70 million during the first nine months of this year.

And Pacific Cycle, part of Dorel’s recreation and leisure group, is also
performing well. Revenue was up 9.6 percent to $288.9 million while
earnings from operations rose 35.2 percent to $27.1 for the first nine
months of the year.

Currently, GT is positioned in the United States as an IBD-brand
only while Schwinn is sold through mass merchant, sporting goods
and specialty retail channels. Mongoose, while also sold in all three
channels, is the leading BMX brand in the UK.

Pacific Cycle's Third Quarter Revenue Up

MADISON, WI --

Pacific Cycle's third quarter revenue was up 2.3
percent to $81.3 million from $79.4 million a year ago.

Earnings from operations declined 10 percent to $6 million from
$6.6 million a year ago. For the nine months, revenue totaled $288.9
million, up 9.6 percent from $263.8 million last year. Earnings from
operations rose 35.2 percent to $27.1 million, compared to $20.1
million last year.

The year-to-date progress underlines the benefits of Pacific’s strategy
of strong and exclusive branding. The segment has broadened its product
lines in 2007; nonetheless the majority of the revenue growth this year is
due to an improvement in its core bicycle business with sales increasing
to both new and existing customers in the mass merchant and independent
bicycle dealer (IBD) network. Additional dealers continue to join the IBD
network, an endorsement of Pacific’s decision to dedicate its GT line
exclusively to this channel.
